Building Your Law Firm’s AI Use Policy: The Essential Elements
An AI use policy is critical for any legal practice considering the deployment of an AI platform. Whether you run a small, lean law firm, an in-house law department, or work for a BigLaw Firm, a written policy is the single most effective step you can take to ensure that AI is used responsibly and consistently by all personnel. It doesn’t need to anticipate every scenario, and in fact, it can’t possibly do so, but it does need to exist, and it needs to address a handful of core elements that flow directly from the ethical obligations we’ve already discussed.
A firm AI policy serves two purposes. First, it provides practical guardrails for the people doing the work—clear, day-to-day guidance on what is permitted, what requires approval, and what is off-limits. Second, it demonstrates to clients, courts, and regulators that you take your ethical obligations seriously and have implemented reasonable measures to ensure that everyone on your team fulfills them. As ABA Formal Opinion 512 and virtually every state bar guidance document emphasize, firms should establish clear internal policies governing AI use. This is not optional best practice language—it is the logical extension of the duties of competence and supervision that apply to every lawyer in the firm.
So, what elements should a law practice’s AI use policy contain? While the specifics will vary based on your size, practice areas, and the tools you use, there are several foundational elements that every policy should address.
Clearly Identify Approved Tools and Platforms
The policy should identify which AI tools are approved for use in the firm, and just as importantly, which are not. This is where the distinction between open and closed tools is key. Your policy should make clear that consumer-grade, open AI tools—where data may be retained, shared, or used for model training—are not approved for any work involving client information or confidential matter details. If your firm has invested in legal-specific or enterprise-tier platforms with appropriate data protections, those should be listed as approved, along with any conditions on their use. If attorneys want to use a tool not on the approved list, the policy should establish a process for requesting review and approval before deploying it on any client matter.
Confidentiality and Data Protection
This is the heart of any law firm’s AI policy. In addition to clearly identifying which tools are approved and sanctioned for attorney use, the policy must establish clear rules on what information may and may not be entered into AI tools. At a minimum, it should establish clear protocols for inputting client information and uploading documents into an AI platform. The policy should clearly explain protocols for maintaining intra-firm ethical walls when using AI, which may include restrictions or limitations on the use of such tools for certain matters. The policy should also reference and incorporate the firm’s broader data security protocols, and make it clear that AI tools are subject to the same access controls, authentication requirements, and security standards as all other systems handling client data.
Human Review and Verification
Every piece of AI-generated work product must be reviewed by a qualified attorney before it is used in any client deliverable, court filing, or communication. The policy should be explicit about this. It should require that all AI-generated legal research be independently verified against primary sources, that all citations be confirmed as real and accurately quoted, and that all factual assertions be checked against the actual record. The policy should also make clear that AI output is a starting point, not a finished product—it must be reviewed not only for accuracy but for completeness, relevance, and appropriateness to the specific matter. This is where the duty of competence and the duty of candor to the tribunal intersect, and the consequences of getting it wrong—as the growing list of sanctioned attorneys demonstrates—are severe.
Supervision and Accountability
The policy should define who is responsible for overseeing AI use within the firm. Supervising attorneys are responsible for ensuring that both lawyers and non-lawyer staff use AI in compliance with the firm’s ethical obligations. The policy should specify that supervising attorneys must review and approve AI-assisted work product before it leaves the firm, and that they are responsible for ensuring the people they supervise understand the firm’s AI policy and have been trained on it. For firms with paralegals, legal assistants, or other staff who may use AI tools, the policy should clearly delineate which tasks they may use AI for and the level of attorney oversight required. The key principle is simple: AI does not change who is responsible for the work. The attorney of record is accountable for every piece of work product that bears the firm’s name, regardless of whether a person or a machine generated the first draft.
For in-house legal departments, sample policies also stress that supervision extends beyond internal staff to outside counsel and vendors. If your outside law firm is using AI tools on your matters, the policy should require advance disclosure and approval, set expectations for how outside counsel verifies AI-assisted work product, and prohibit the use of company data to train third-party AI models. Updating your outside counsel guidelines to address AI use directly is an increasingly common—and advisable—step.
Client Communication and Disclosure
The policy should address when and how clients will be informed about the firm’s use of AI. As I discussed in my earlier post on ethics rules, ABA Formal Opinion 512 identifies several situations where disclosure is necessary—including when AI output will influence a significant decision in the representation, when a client has retained the lawyer based on the lawyer’s particular skill and judgment, or when AI use is relevant to the basis of the lawyer’s fee. Several state bars go further, recommending disclosure as a default practice. The safest approach is to address AI use in your engagement agreements, giving clients the opportunity to ask questions or impose limitations at the outset of the representation. Your policy should establish a standard practice for how the firm handles this—whether through specific language in the engagement letter, a separate disclosure, or both.
Billing and Fee Practices
AI can dramatically reduce the time required to complete certain tasks, and any law firm AI use policy needs to address how that efficiency is reflected in your billing. If your firm bills hourly, the policy should make clear that attorneys may bill only for the time actually spent—including time spent crafting prompts, reviewing output, and editing the final product—not for the hours the task would have taken without AI assistance. If AI tool subscription costs or per-query charges are passed through to clients, the policy should establish how those costs are documented and disclosed. For firms using flat fees or alternative fee arrangements, the policy should prompt attorneys to consider how AI-driven efficiencies affect the value and reasonableness of their fees.
Reference Ethical and Court Rules
As a best practice, any law firm or legal department’s AI use policy should set the expectation that AI-generated outputs will be reviewed not just for accuracy but also for fairness, and that they align with the firm's broader ethical standards and obligations under the applicable professional conduct rules.
The policy should require attorneys to check the local rules, standing orders, and any judge-specific directives in every jurisdiction and courtroom where they practice before filing any AI-assisted work product. The landscape of court-imposed AI requirements is growing and varies significantly—some courts require certification that AI was not used, others require disclosure if it was, and still others have adopted detailed protocols for AI-assisted filings. Your policy should make checking for these requirements a standard part of the pre-filing workflow, no different from confirming page limits or citation format.
Training and Education
A policy is only as effective as the people who follow it. Your AI use policy should require that all attorneys and staff receive training on the policy itself and on the specific tools the firm has approved. Training should cover the basics of how generative AI works, including its tendency to hallucinate, the confidentiality risks associated with different types of tools, the firm’s verification and review requirements, and any court-specific disclosure obligations. The policy should also establish a cadence for ongoing education—this area is evolving quickly, and what attorneys learn today may be incomplete or outdated within months.
Incident Response and Enforcement
The policy should establish a clear reporting channel for AI-related issues—whether that is a data breach caused by entering confidential information into an unapproved tool, the use of inaccurate AI-generated content in a filing, or the discovery of an unauthorized tool on the firm's network. It should designate a response team, describe the escalation process, and make clear that violations of the policy may result in disciplinary action. Equally important, the policy should include an employee acknowledgment requirement—a signed confirmation that each attorney and staff member has read, understood, and agreed to comply with the policy. This creates accountability and helps prevent after-the-fact claims of ignorance.
Regular Review and Updates
Finally, the policy should include a provision for periodic review and revision. The technology, the regulatory landscape, and the firm’s own experience with AI tools will all evolve. A policy written today should be revisited at least annually—and more frequently if significant new guidance, legislation, or case law emerges. Designating a responsible person or committee to monitor developments and recommend updates will help ensure the policy remains current and useful rather than gathering dust in a shared drive.
No two firms will have identical AI policies, and they shouldn’t. The right policy for a 200-lawyer litigation firm will look different from the right policy for a two-attorney estate planning practice. But the underlying elements are the same, because the ethical obligations are the same. A written policy that addresses approved tools, confidentiality, intellectual property, verification, supervision, client disclosure, billing, court requirements, ethical standards and bias, incident response and enforcement, vendor diligence, training, and ongoing review gives your firm a solid foundation for using AI responsibly—and a defensible record of having done so.
